AGREEMENT TO OUR LEGAL TERMS
These Specific Terms and Conditions of Use apply exclusively to Agents who access or use the Services of Trivity Tech, S.L. (the "Company", "we", "us", "our" and "Trivity"), a commercial company incorporated in Spain, with registered address at Carrer Finlàndia 9, Barcelona, Barcelona 08014. Our VAT ID is ESB21924360. These Services are provided in a professional capacity (B2B); therefore, in addition to the general terms, these Specific Terms specifically govern the relationship between Trivity and the Agent. In the event of any discrepancy or conflict between the provisions of these Specific Terms and the general Legal Notice of the Website, these Specific Terms shall prevail.
The Services offered by Trivity in this environment are not addressed to consumers. By using the Services, you represent and warrant that you are acting in the course of your business or professional activity and not as a consumer.
Trivity is a technology platform that facilitates the recommendation, visibility, management and channeling of bookings for tourist activities offered by third-party activity providers (the "Providers") to end users, through digital tools for activity catalogues, rates, availability, bookings, commissions, tracking and communication (the "Platform"). The Site is not a direct sales portal for activities, a consumer marketplace, a travel agency or an organizer of tourist activities.
These Legal Terms constitute a legally binding agreement between Trivity Tech, S.L. and you, in your capacity as Agent (whether as an individual professional or on behalf of an entity).
If you use the Services on behalf of an entity, you represent that you have sufficient authority and capacity to bind that entity to these Legal Terms.
Agents may use the Platform, among other channels, through:
- their own websites,
- physical devices (such as tablets or digital kiosks),
- management interfaces,
- or any other channel enabled by Trivity from time to time, which may be directly managed, configured or controlled by the Agent,
- for the purpose of recommending, prescribing or channeling bookings, without organizing, operating or providing the activities, and without assuming any liability for their performance.
Trivity makes available the website trivityapp.com and its subdomains (the "Site"), applications, interfaces, physical devices, APIs and any other related products or services that refer or link to these Legal Terms (collectively, the "Services").
Trivity provides only technology and software infrastructure.
Under no circumstances does it:
- organize,
- operate,
- provide,
- guarantee,
- supervise,
- or assume any liability
- for the activities offered by Providers, the material performance of which is the sole and exclusive responsibility of the Provider.

By accessing or using the Services, you confirm that you:
- have read,
- understand,
- and agree to be bound
- by all of these Legal Terms.
If you do not agree with them, you must refrain from using the Services and cease using them immediately.
Trivity may modify these Legal Terms at any time. Modifications will be notified by reasonable means fifteen (15) calendar days in advance (for example, by notice on the Platform or by email) and will enter into force on the date indicated or, failing that, upon publication.
Use of the Services after the modifications enter into force will imply acceptance of the modified Legal Terms.
The Services are intended only for persons over 18 years of age. Persons under 18 may not register for or use the Services.
Definitions
For the purposes of these Legal Terms:
- "Activity"
- means any experience, service or tourist activity offered by a Provider through the Platform.
- "Agent"
- means a natural or legal person who, in the course of their professional activity, uses the Platform to recommend, prescribe or channel bookings for Activities.
- "Provider"
- means a natural or legal person who offers Activities through the Platform.
- "End User"
- means a person who books or participates in an Activity.
- "Booking"
- means a booking for an Activity channeled through the Platform.
- "Platform"
- means the set of Trivity digital functionalities and tools.
- "Services"
- means the technology services provided by Trivity in accordance with these Legal Terms.
1. OUR SERVICES
Trivity provides technology services consisting of a digital platform that enables professional agents to recommend, prescribe and channel bookings for tourist activities offered by third-party providers, facilitating access to information on activities, availability and prices in real time, as well as operational tracking tools for channeled bookings.
The Services allow the Agent to provide end users with access to activity information and the booking flow through different channels enabled by the Platform (including, among others, web environments, physical tablets or other access points), solely for the purpose of enabling the display and booking of activities offered by Providers registered with Trivity.
The Services are provided exclusively within the framework of a professional relationship (B2B). By using the Services, the Agent represents that it acts in the exercise of its business or professional activity and not as a consumer. The Services are not addressed to end consumers.
Trivity acts exclusively as the provider of technological intermediation infrastructure, without organizing, operating, coordinating or providing the activities offered by Providers, or intervening in their material performance. The Agent's use of the Services does not, under any circumstances, imply that Trivity assumes functions typical of travel agencies, regulated tourism intermediaries, activity organizers or tourism service providers, nor does it create any contractual relationship between Trivity and the end user.
Trivity does not provide legal, tax, financial or tourism advice to the Agent, nor does it guarantee that use of the Services, by itself, complies with all legal obligations that may apply to the Agent or to its professional activity. The Agent is solely responsible for knowing and complying with the regulations applicable to its field of activity.
2. INTELLECTUAL PROPERTY RIGHTS
Unless expressly stated otherwise, all intellectual and industrial property rights in and to the Platform, the Services, the Website, the interfaces, the software, the design, the technical architecture, the operational flows, the texts, graphics, logos, trademarks, trade names, distinctive signs, databases and any other elements that make up or form part of Trivity are exclusively owned by Trivity or its licensors and are protected by the applicable intellectual and industrial property laws.
Nothing in these Legal Terms shall be interpreted as an assignment of intellectual or industrial property rights in favor of the Agent.
License to use
Trivity owns or is licensed to use all intellectual and industrial property rights relating to the Services as regards Trivity's technology platform, including, among others, source code, databases, functionalities, software, architecture, algorithms, user interface, website designs and any Trivity digital interfaces, as well as texts, graphics, audiovisual elements and other content owned by Trivity (collectively, the "Trivity Content"), and the associated trademarks, service marks, trade names and logos (the "Marks").
The Trivity Content and Marks are protected by applicable intellectual and industrial property laws, unfair competition laws and the corresponding international treaties. The Trivity Content is made available to the Agent "as is", exclusively for internal and professional use in connection with access to and use of the Services in accordance with these Legal Terms.
Content provided by Providers or other professional users through the Platform is expressly excluded from the Trivity Content.
The Agent warrants that it is the lawful owner of, or has the necessary rights to, any distinctive sign, logo, trade name, photograph or description that it adds to the Platform to customize its interface or recommendations (the "Agent Content").
For the purpose of providing the Service, the Agent grants Trivity a non-exclusive, royalty-free, worldwide license to use such content for the duration of the contractual relationship. This license is granted solely and exclusively to allow Trivity to reproduce, technically adapt and publicly communicate such Agent Content within the framework of the functionalities.
The Agent shall hold Trivity harmless against any third-party claim arising from an alleged infringement of intellectual or industrial property rights in the content provided by the Agent.
License to use the Services
Trivity grants the Agent a limited, non-exclusive, non-transferable, revocable and non-sublicensable license to access and use the Platform and the Services exclusively for the purpose of performing its role as Agent in accordance with these Legal Terms and for the duration of the contractual relationship.
Such license is limited to the use of the web interfaces, digital environments and tools made available by Trivity to the Agent, and does not include the right to:
- copy, reproduce, modify, adapt or create derivative works;
- decompile, reverse engineer or attempt to access the source code;
- remove or alter intellectual property notices;
- use the Platform or its elements for purposes other than those expressly authorized.
Reservation of rights
Trivity reserves all rights not expressly granted to the Agent under these Legal Terms. Any unauthorized use of the Platform or its elements may result in the suspension or termination of access to the Services, without prejudice to any legal actions that may apply.
3. AGENT REPRESENTATIONS AND WARRANTIES
The Agent represents and warrants to Trivity that, at the time of registering on the Platform and throughout the term of the contractual relationship:
Professional status and capacity
It always acts within the framework of its business or professional activity (B2B) and not as a consumer.
It has full legal capacity to be bound by these Legal Terms.
If acting on behalf of a legal person or other entity, it has sufficient authority to validly bind that entity.
Lawful use of the Platform
The Agent represents and warrants that:
- It will use the Platform and the Services exclusively in accordance with these Legal Terms, applicable law and the operating instructions published by Trivity.
- It will not use the Platform for unlawful, fraudulent or misleading purposes, or in a manner contrary to professional good faith.
- It will not carry out actions that may damage, overload, disable or compromise the security, integrity or proper functioning of the Platform.
Relationship with end users
The Agent acknowledges and warrants that:
- It does not act as organizer, operator, provider, seller or party responsible for the activities offered through the Platform.
- It does not assume any contractual obligation towards end users in relation to the performance of the activities.
- It will not make statements, promises, warranties or commitments to end users that exceed or contradict the information provided by the Provider or displayed on the Platform, or that may reasonably be attributed to Trivity.
- It will not make communications that may lead others to believe that the Agent or Trivity is the service provider.
- It will not contact end users using data obtained through the Platform, unless required by law and only to the strictly required extent.
Relationship with Providers
The Agent represents and warrants that:
- It understands that the economic terms, availability, commissions and policies applicable to each activity are defined by the Provider and may vary.
- It will not modify, manipulate or misleadingly present prices, terms or characteristics of the activities.
- It will respect the configurations, limitations and exclusions established by Providers regarding its access or participation as Agent.
Regulatory compliance
The Agent represents and warrants that:
- It complies with all regulations applicable to it in the exercise of its professional activity, including tourism and advertising regulations applicable to its activity.
- If it accesses personal data of end users, it will process such data in accordance with applicable data protection laws, the provisions of these Legal Terms and solely for the purposes enabled by the Platform.
- It will not use data obtained through the Platform for unauthorized purposes.
Accuracy of information
The Agent warrants that:
- All information provided to Trivity during registration and use of the Platform is true, complete and up to date.
- It will keep such information updated throughout the term of the relationship.
- It will be solely responsible for any damage arising from the inaccuracy or falsity of the information provided.
Consequences of breach
The Agent acknowledges that breach of any of the representations and warranties contained in this section may lead Trivity to adopt measures, including suspension or termination of access to the Platform, without prejudice to any other actions that may apply under these Legal Terms or applicable law.
4. REGISTRATION AND ACCOUNT SECURITY
Registration on the Platform
To access and use the Services, the Agent must complete the registration process enabled by Trivity and create a user account associated with its professional profile.
The Agent undertakes to provide true, complete and up-to-date information during the registration process and to keep it updated at all times. Trivity may request additional information reasonably necessary to verify the Agent's identity, professional status or authorization.
Trivity reserves the right to accept or reject registration requests, and to suspend or cancel accounts, where there are reasonable indications of breach of these Legal Terms, misuse of the Platform or risk to the security, integrity or proper functioning of the Services.
Access credentials and account use
Access to the Platform is made through personal credentials (username and password or other authentication mechanisms enabled by Trivity).
The Agent is solely responsible for:
- the confidentiality and custody of its access credentials;
- any activity carried out from its account;
- use of the Platform by employees, collaborators, authorized personnel or third parties acting under its control or responsibility.
The Agent undertakes to:
- not share its credentials with unauthorized third parties;
- adopt reasonable measures to prevent unauthorized access;
- revoke access for employees or collaborators whose relationship with the company ends.
- notify Trivity without undue delay of any unauthorized use, loss or compromise of its credentials.
Personnel access, devices and physical points
When the Agent uses the Platform through physical devices, access points, tablets, digital kiosks or other shared-use environments, it will be responsible for:
- properly configuring access;
- limiting use to the intended purposes;
- preventing improper access by unauthorized third parties.
Trivity will not be liable for unauthorized access resulting from inadequate configuration, Agent negligence or misuse of devices under the Agent's control.
Suspension, blocking and security measures
Trivity may, without prior notice, temporarily suspend or restrict access to an account where:
- there are reasonable indications of fraudulent or unlawful use, or use contrary to these Legal Terms;
- risks to the security of the Platform are detected;
- it is necessary to comply with legal obligations or requests from competent authorities.
Such measures will be adopted proportionately and may remain in place while the causes that gave rise to them persist.
Availability and technical measures
Trivity adopts reasonable technical and organizational measures to protect account and Platform security. However, the Agent acknowledges that:
- no system is completely infallible;
- access to the Services may occasionally be interrupted due to maintenance tasks, technical incidents or causes beyond Trivity's control.
These circumstances will not give rise to any right to compensation, without prejudice to the provisions of other sections of these Legal Terms.
5. ECONOMIC TERMS
Free use of the Platform (base SaaS)
Access to and use of the Platform by the Agent, in its standard software-as-a-service (SaaS) mode, is currently free of charge, without prejudice to future modifications in accordance with these Legal Terms.
This mode allows the Agent to:
- register on the Platform;
- access the enabled interfaces;
- recommend and channel bookings for Activities;
- integrate the Platform into its own digital channels (for example, website or other environments) using the technical documentation and resources made available by Trivity.
Free use of the base SaaS does not include onboarding, personalized support, assisted configuration, supply of physical devices or custom developments, which are governed by the following sections.
Onboarding and initial support services
Optionally, the Agent may purchase support services during the onboarding, initial configuration and launch process for the Platform (assisted onboarding).
Such services:
- are one-time services;
- are provided according to the scope and terms agreed in each case;
- are subject to payment of the price indicated by Trivity at the time of purchase.
The purchase of these services does not alter the free nature of use of the base SaaS.
Trivity Guest and physical devices
Trivity may optionally offer the Agent its own physical devices (for example, tablets or Trivity Guest points) intended to facilitate end-user access to the Platform in the Agent's physical spaces.
The purchase of Trivity Guest may include:
- an initial price for the supply, installation and configuration of the device; and
- a periodic support and maintenance fee, usually annual.
The specific economic terms (amount, support scope, duration and renewals) will be those in force at the time of purchase and will be communicated clearly to the Agent before acceptance.
Custom implementations and extended support
The Agent may request custom implementation services, specific integrations, technical adaptations or bespoke developments from Trivity.
These services:
- have a price higher than standard onboarding;
- are quoted and contracted individually;
- may include a periodic extended support fee, with a more personalized level of service.
The scope, economic terms and applicable support level will be defined in the corresponding commercial proposal or specific agreement.
Billing and applicable terms
The prices, payment methods, fee periodicity and other economic terms applicable to additional services will be those in force at the time of purchase and those expressly indicated on the Platform, in the corresponding commercial offer or in the specific agreement entered into with the Agent.
Unless expressly stated otherwise, all amounts are understood to exclude indirect taxes, which will be added in accordance with applicable tax law.
Periodic fees will accrue according to the agreed periodicity and will be subject, where applicable, to renewal under the terms communicated at the time of purchase.
Modification of economic terms
Trivity reserves the right to modify the economic terms applicable to additional services or to introduce new service models, which will be communicated to the Agent by reasonable means.
Such modifications will not affect services already purchased and accepted retroactively, unless expressly agreed otherwise or required by law.
6. PROHIBITED ACTIVITIES AND MISUSE OF THE PLATFORM
The Agent undertakes to use the Platform and the Services diligently, loyally and in accordance with their professional purpose. Any improper, abusive use or use contrary to these Legal Terms is expressly prohibited.
Without limitation, the following are considered prohibited activities:
Circumvention of the Platform and diversion of bookings
The following are expressly prohibited:
- diverting, redirecting or channeling outside the Platform bookings, booking requests or contacts initiated through Trivity;
- encouraging end users to complete a booking, payment or purchase through external means (email, telephone, private messaging, external links or other channels), where the origin of such contact is the Platform;
- using the Platform merely as a showcase or acquisition tool to subsequently close the booking outside Trivity;
- omitting, delaying or falsifying information in order to avoid the proper traceability of channeled bookings.
These conducts will be considered a material breach of these Legal Terms.
Improper direct contact with end users
The Agent undertakes to:
- not request or use end-user contact details for purposes unrelated to channeling the booking through the Platform;
- not establish direct commercial relationships with end users acquired through Trivity outside the Platform;
- not reuse data obtained through the Services for unauthorized external campaigns, communications or commercial actions.
The foregoing is without prejudice to communications strictly necessary between the Agent and Trivity or between the Agent and the Provider for the proper operational use of the Services. Under no circumstances may the Agent contact end users, directly or indirectly, using information obtained through the Platform, including, by way of example, satisfaction surveys, review requests, post-booking communications or any other contact not strictly required by a legal obligation or by a request from a competent authority.
Manipulation of information, prices or terms
It is prohibited to:
- modify, conceal, manipulate or misleadingly present information about Activities provided by Providers;
- alter prices, terms, availability, cancellation policies or characteristics of Activities;
- make unauthorized statements, promises or warranties regarding Activities or their performance.
The Agent acknowledges that the information displayed must faithfully correspond to the information configured by the Provider and displayed on the Platform.
Misuse of data and content
The Agent may not:
- use personal data or operational information obtained through the Platform for purposes other than those permitted;
- copy, extract, exploit or reuse databases, activity listings, content or Platform information outside the framework of the Services;
- perform scraping, automated extraction or unauthorized bulk use of information.
Technical misuse and security
It is prohibited to:
- interfere with, overload, damage or attempt to compromise the security, integrity or operation of the Platform;
- access restricted areas, systems, APIs or technical infrastructure without authorization;
- introduce malicious code, scripts, bots or any other element that may affect the normal operation of the Services.
Unfair competitive use
The Agent may not:
- use the Platform to develop, train, feed or improve products, services or platforms that compete with Trivity;
- use non-public Trivity information for competitive purposes or functional reverse engineering.
Consequences of breach
The Agent acknowledges and accepts that any breach of this section may give rise, at Trivity's discretion and without prior notice, to:
- temporary suspension of access to the Platform;
- limitation of functionalities;
- permanent termination of the Agent's account;
- loss of access to associated devices, integrations or services;
- without prejudice to any claim for damages that may apply under law and the adoption of other measures provided in these Legal Terms.
7. THIRD-PARTY WEBSITES AND CONTENT
The Platform may include, display or make available to the Agent links, references, integrations, content, materials, data or services provided by third parties, including, by way of example, Activity Providers, Agents, end users, external platforms, OTAs, payment systems or other third-party websites or services (collectively, "Third-Party Content").
Access to third-party content
The Agent accesses Third-Party Content under its sole responsibility. Trivity does not control, review, validate or guarantee:
- the accuracy, completeness, timeliness or lawfulness of such content;
- the quality, availability, security or legality of the services or products offered by third parties;
- the regulatory, tax, contractual or compliance status of such third parties.
The inclusion of Third-Party Content on the Platform does not imply, under any circumstances, recommendation, sponsorship, association, validation or approval by Trivity.
External links
The Platform may contain links to external websites or services that are not owned or controlled by Trivity.
Trivity assumes no liability for:
- the content, policies, practices or terms of such websites;
- damages, losses or harm arising from access to or use of them;
- contractual, economic or legal relationships that the Agent may establish with third parties through such links.
The Agent acknowledges that access to such external sites is governed by the terms and policies of their respective owners.
Content provided by Providers or other users
Content relating to Activities (including descriptions, prices, availability, images, terms and policies) is provided directly by Providers under their sole responsibility.
Trivity does not guarantee the truthfulness, accuracy or adequacy of such information and assumes no liability for errors, omissions or inaccuracies in content provided by third parties.
Exclusion of liability
To the fullest extent permitted by law, Trivity will not be liable to the Agent for:
- direct or indirect damages arising from the use of Third-Party Content;
- interruptions, failures or incidents in services provided by third parties;
- disputes, claims or conflicts between the Agent and third parties.
Any claim relating to Third-Party Content must be brought directly against the relevant third party.
8. MANAGEMENT OF THE SERVICES
Provision of the Services
Trivity will provide the Services under a SaaS ("software as a service") model, making the Platform available to the Agent as is and as available, without guaranteeing that the Services will be free from errors, interruptions or occasional incidents.
Trivity will use reasonable efforts to maintain the availability, stability and general operation of the Platform, taking into account the technological nature of the Services.
Support and assistance
Trivity may offer support to the Agent through the channels enabled from time to time (for example, email, internal tools or online documentation).
Unless a specific support service, assistance plan or onboarding plan has been expressly purchased, Trivity assumes no obligation to:
- provide continuous, immediate support or support with guaranteed service levels, unless expressly purchased;
- guarantee specific response times;
- provide personalized assistance.
Support, onboarding, assisted configuration or technical assistance services may be subject to specific economic terms, limited scope and availability, as indicated on the Platform or in the applicable agreements.
Maintenance and updates
Trivity may at any time carry out:
- corrective, preventive or evolutionary maintenance tasks;
- updates, improvements or technical modifications;
- changes to functionalities, operational flows or interfaces.
Such actions may involve temporary service interruptions, without giving rise to any right to compensation, provided that Trivity acts reasonably.
Where possible, Trivity will endeavor to give advance notice of scheduled interruptions that have a material impact.
Suspension or limitation of access
Trivity may temporarily suspend, limit or restrict the Agent's access to the Services where:
- it is necessary for technical, security or maintenance reasons;
- it detects improper, fraudulent use or use contrary to these Legal Terms;
- there is a risk to the integrity, security or stability of the Platform;
- it is required by legal obligation or by a request from a competent authority.
Suspension or limitation may be carried out without prior notice where necessary to avoid immediate damage or risks.
Evolution of the service
The Agent acknowledges and accepts that the Platform is a constantly evolving service. Trivity does not guarantee that any specific functionality will be maintained indefinitely or that the Services will remain unchanged over time.
The addition, modification or withdrawal of functionalities will not give rise to any claim, unless expressly stated otherwise in a specific agreement.
9. PRIVACY POLICY
The protection of personal data is a priority for Trivity.
The processing of personal data carried out by Trivity in connection with the Services is governed by Trivity's Privacy Policy, permanently available on the Platform, and by any data processing agreements that may apply depending on the role of the Parties (for example, the Data Processing Agreement (DPA) entered into with Providers when Trivity processes end-user data on their behalf).
The Agent represents that it is aware of and expressly accepts such documents, which form an integral part of these Legal Terms by reference, and acknowledges that any access by the Agent to booking information is governed, in particular, by the section "Personal data and access to end-user information".
In particular, the Agent acknowledges and accepts that:
- Trivity acts as controller with respect to personal data processed for its own purposes (account management, billing, support, security, regulatory compliance, etc.).
- Trivity acts as processor with respect to end-user personal data processed on behalf of Providers, in accordance with their documented instructions.
- The Agent's access to personal data of end users, where it exists, is limited exclusively to what is strictly necessary for use of the Services and must be carried out in accordance with applicable data protection laws and the provisions of these Legal Terms. Such access will be limited, where applicable, to booking identification data and will not include end-user contact details.
- The Agent undertakes to manage and access any personal data to which it has access through the Platform lawfully, confidentially and securely, exclusively within the functional limits of the Services and without using such data for purposes other than those expressly authorized.
Personal data and access to end-user information
Nature of the Agent's access to data
The Agent acknowledges and accepts that access to information relating to end users who make bookings through the Platform occurs solely and exclusively as a consequence of its role as prescriber or channel for the booking.
The Activity Provider is the controller of the personal data of end users associated with the booking and the performance of the Activity.
Trivity acts, depending on the context:
- as processor on behalf of the Provider, in accordance with the applicable Data Processing Agreement (DPA), available at: https://trivityapp.com/en/dpa-providers-en/; and
- as controller only with respect to data processed for its own purposes (security, fraud prevention, regulatory compliance and operation of the Platform).
Data retention and deletion
Personal data will be retained for the time necessary to provide the Services and, thereafter, for the periods required by applicable law, including statutory retention periods.
Following termination or cancellation of the Agent's account, the Agent may, for a reasonable period, access the Platform to export available data in accordance with the enabled functionalities, unless access has been suspended for legal, security or material breach reasons.
Once such periods have ended, Trivity will delete or anonymize the personal data processed as processor, without prejudice to the retention of backup copies for the necessary technical periods or retention required by legal obligations.
Sub-processors
The Agent expressly authorizes Trivity to engage sub-processors for the proper provision of the Services, including, among others, providers of technology infrastructure, cloud hosting, email services, communication, analytics, payment and support tools.
Trivity will ensure that such sub-processors are subject to appropriate data protection obligations in accordance with applicable law. Information relating to the sub-processors used by Trivity may be made available to the Agent in updated form through the Platform or the enabled information channels.
Limited and functional access to information
The Agent's access to information relating to end users is strictly limited to the information that Trivity makes available to it through the Platform for purely identification and internal tracking purposes regarding bookings channeled by that Agent.
In particular, Trivity may show the Agent, solely for identification purposes, the name of the end user associated with a booking, together with non-sensitive operational information (for example, booking identifier, status, date and data necessary for proper identification of the booking).
Such access does not authorize the Agent to use that information outside the functional scope of the Platform or to process it for its own purposes, and is strictly limited to the purposes provided in these Legal Terms.
Exclusion of contact and communication data
Under no circumstances will Trivity provide the Agent with end-user contact details, including, without limitation, email address, telephone number, address or other means of direct contact, nor will it enable communication functionalities between the Agent and the end user.
Prohibition of further use
The end user's name is provided exclusively as a booking identifier and does not authorize or legitimize any contact with the end user, any independent processing of the data, any commercial, promotional or relationship use, or its incorporation into the Agent's own or third-party databases.
Prohibition of independent or external use of data
The Agent expressly undertakes not to use the personal data of end users to which it may have access, directly or indirectly, through the Platform for purposes other than those strictly necessary for viewing and internally tracking channeled bookings.
In particular, the Agent may not:
- collect, store or incorporate such data into its own or third-party databases;
- use it for commercial, promotional, advertising or loyalty purposes;
- assign, communicate or make it available to third parties;
- use it to divert bookings outside the Platform or circumvent its traceability or commission mechanisms.
Confidentiality and security
The Agent undertakes to treat any information relating to end users to which it has access as strictly confidential and to adopt reasonable measures to prevent unauthorized access, use or disclosure.
Access to such information must be limited only to the Agent's strictly necessary and authorized personnel.
Agent liability
Any access, use or processing of end-user personal data by the Agent outside the limits established in these Legal Terms will constitute a material breach.
The Agent will be solely liable to end users, Providers, supervisory authorities or third parties for any improper processing of personal data that it carries out.
The Agent undertakes to indemnify and hold Trivity harmless against any claim, penalty, damage or loss arising directly or indirectly from the Agent's misuse of personal data.
10. COPYRIGHT INFRINGEMENTS
Trivity respects the intellectual and industrial property rights of third parties and expects Agents to act in the same way.
If you believe that any content accessible through the Platform infringes copyright or other intellectual or industrial property rights, you may notify Trivity by providing at least the following information:
- clear identification of the allegedly infringing content;
- sufficient proof of ownership of the rights or authorization to act on behalf of the owner;
- an express statement that the reported use is not authorized;
- the claimant's contact details.
Notices must be sent to: admin@trivityapp.com
Trivity may, at its sole discretion and without assuming any obligation, remove or disable access to reported content where it identifies reasonable indications of infringement or where legally required.
The Agent acknowledges that Trivity does not systematically control or review third-party content and that any claim relating to content contributed by Providers or other professional users must be brought primarily against the party responsible for such content.
11. TERM AND TERMINATION
These Legal Terms will enter into force on the date on which the Agent accepts them and will remain in force while the Agent uses or has access to the Services.
The Agent may stop using the Services and terminate the relationship at any time by ceasing use of the Platform.
Trivity may suspend or terminate, in whole or in part, the contractual relationship with the Agent, access to the Platform or certain Services, immediately and without prior notice, where any of the following circumstances occur:
- breach of these Legal Terms;
- improper, fraudulent use or use contrary to professional good faith;
- risk to the security, integrity or proper functioning of the Platform;
- legal, administrative or judicial requirement;
- cessation or substantial modification of the Services.
Where Regulation (EU) 2019/1150 (P2B) applies and except in cases of material breach, fraud, security risks, legal requirements or where technically impossible, Trivity will endeavor to notify the Agent of the suspension or termination with reasonable advance notice, indicating the main reasons for the measure.
Termination of the relationship will not affect provisions that, by their nature, should survive, including, among others, those relating to intellectual property, liability, limitation of liability, indemnification, governing law and dispute resolution.
12. SERVICE MODIFICATIONS AND INTERRUPTIONS
Trivity reserves the right to modify, update, suspend or interrupt, temporarily or permanently, all or part of the Services, the Platform or its functionalities, for technical, operational, security, legal or business reasons.
Trivity will endeavor, where reasonably possible, to communicate relevant interruptions or substantial changes sufficiently in advance. However, the Agent acknowledges and accepts that:
- the Services are provided under a SaaS model;
- scheduled or unscheduled interruptions may occur;
- Trivity does not guarantee the continuous or uninterrupted availability of the Platform.
Modifications or interruptions will not entitle the Agent to any indemnity, compensation or refund, except where legally required.
13. GOVERNING LAW
These Legal Terms shall be governed by and interpreted in accordance with the laws of Spain, with the application of the United Nations Convention on Contracts for the International Sale of Goods expressly excluded. If you access or use the Services on behalf of a company, you agree that you act in a professional capacity and that consumer protection laws applicable to consumers do not apply to this relationship.
14. DISPUTE RESOLUTION
Prior good-faith negotiation
Except in the cases expressly excluded in the following section, the Parties agree that any dispute, controversy or claim arising from or relating to these Legal Terms, their interpretation, performance, validity or termination (each a "Dispute") will first be subject to an attempt at amicable resolution through good-faith negotiation.
The negotiation will begin by written notice from one Party to the other, reasonably describing the subject matter of the Dispute, and will continue for a maximum period of thirty (30) calendar days from receipt of such notice, unless the Parties expressly agree on a different period.
Failure to respond, express refusal to negotiate or expiry of the indicated period without an agreement being reached will entitle either Party to bring proceedings before the courts in accordance with this section.
Exceptions to prior negotiation
The obligation of prior negotiation will not apply where the Dispute relates to:
- non-payment, breaches of economic obligations or commercial terms;
- fraud, misuse of the Platform, commission circumvention or material breaches of the Legal Terms;
- security, integrity or operation of the Services or the Platform;
- protection, defense or infringement of Trivity's or third parties' intellectual or industrial property rights;
- improper access to, use or processing of personal data;
- the request for interim, provisional or urgent measures.
In such cases, either Party may go directly to the competent courts without prior negotiation.
Jurisdiction and venue
If an amicable resolution is not reached as described above, any Dispute will be submitted to the exclusive jurisdiction of the courts and tribunals of the city of Barcelona (Spain), with express waiver, to the extent permitted by law, of any other venue that may correspond to them.
The Parties expressly acknowledge and accept that they act within the framework of a strictly professional relationship (B2B), and therefore consumer and user protection rules do not apply.
15. CORRECTIONS
Trivity does not guarantee that the content, descriptions, functionalities or information available on the Platform are free from errors, inaccuracies or omissions.
Trivity reserves the right to correct, modify or update, at any time and without prior notice:
- typographical errors;
- technical errors;
- incomplete descriptions;
- outdated information;
- incorrect configurations.
Such corrections will not give rise to any right to claim, indemnity or compensation by the Agent.
16. DISCLAIMER
The Agent expressly acknowledges and accepts that:
- the Platform is provided "as is" and "as available";
- Trivity does not guarantee commercial, economic or conversion results;
- Trivity does not control or answer for the actions of Providers, end users or other third parties.
Trivity will not be liable, under any circumstances, for:
- the performance, quality, safety or legality of the activities;
- cancellations, modifications or incidents between Providers and end users;
- commercial decisions adopted by the Agent based on information displayed on the Platform;
- damage arising from the use of, or inability to use, the Services, except in cases where liability cannot legally be excluded.
17. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Trivity's total liability to the Agent, arising from or relating to these Legal Terms and use of the Services, will be limited to direct damages actually caused.
Under no circumstances will Trivity be liable for:
indirect, consequential or special damages;
loss of profits, revenue, business opportunities or reputation;
loss of data, business interruption or loss of earnings.
Nothing in these Legal Terms limits or excludes liability that cannot legally be limited or excluded under applicable law.
18. INDEMNIFICATION
The Agent undertakes to indemnify, defend and hold harmless Trivity, its directors, employees and collaborators against any claim, penalty, damage, loss, cost or expense (including reasonable legal fees) arising from:
- breach of these Legal Terms;
- misuse of the Platform or the Services;
- infringement of third-party rights;
- improper processing of personal data by the Agent;
- any act or omission of the Agent in the exercise of its professional activity.
This obligation will survive termination of the contractual relationship.
19. PAYMENTS, AGENT COMMISSIONS AND NO FINANCIAL INTERMEDIATION
Economic nature of the Agent's role
The Agent acknowledges and accepts that its participation in the Platform is limited to the recommendation, prescription or technical channeling of bookings for Activities offered by Providers, without intervening in the setting of the base price of the activity, the collection of payment from the end user or the material performance of the activity.
The Agent does not act as seller, organizer, financial intermediary, collection agent or economic representative of the Provider or Trivity, and assumes no obligation to collect, pay, advance, settle or provide any economic guarantee to end users or Providers.
Agent Commission
Any commission payable to the Agent (the "Agent Commission") constitutes remuneration of a strictly professional nature arising from the channeling of a valid booking, in accordance with the economic terms defined by the Provider and configured on the Platform from time to time.
The Agent acknowledges and accepts that:
- the Agent Commission is not generated automatically by the mere display, recommendation or initiation of a booking;
- the Agent Commission may accrue only when the corresponding booking has acquired the status of validated booking in accordance with the Platform's operational flows; and
- the existence, percentage, calculation basis and terms of the Agent Commission depend exclusively on the Provider's configuration, and Trivity does not guarantee any minimum amount, recurrence or volume of commissions.
Independently of the Agent Commission, certain bookings channeled through Agents may be subject to a Trivity Commission associated with the use of the Platform for the recommendation, distribution or channeling of such bookings. The Trivity Commission is separate from management fees or costs associated with online payment processing, which may be borne by the end user or by the Provider according to the applicable configuration.
Accrual and no early enforceability
The Agent Commission:
- does not accrue at the time of payment made by the end user;
- is not enforceable while the booking has not been validated; and
- does not create any right in the event of cancellation, modification, no-show, refund, chargeback or payment dispute, unless the Provider has expressly configured otherwise on the Platform or mandatory law requires otherwise.
The Agent expressly accepts that Trivity does not guarantee actual collection of the Agent Commission and assumes no obligation to advance, insure or cover such commission.
Conversion of commission into discount
Where the Provider allows it through the relevant configuration, the Agent may choose to convert all or part of its Agent Commission into a discount applied to the price shown to the end user.
In such cases, the Agent acknowledges and accepts that:
- conversion of commission into a discount reduces or eliminates its own commission, without generating any compensation obligation for Trivity;
- Trivity acts exclusively as provider of the technical infrastructure that enables such conversion; and
- the economic impact of the discount is not transferred to Trivity under any circumstances.
No payment management by the Agent
The Agent expressly acknowledges and accepts that:
- it does not receive payments from the end user through the Platform;
- it does not manage funds, collections, returns or refunds;
- it does not have access to the end user's payment methods; and
- it does not participate in settlement flows between Trivity, the Provider and payment service providers.
Any technical reference to the Agent's involvement in the booking process does not under any circumstances imply financial intermediation, custody of funds or economic liability.
Trivity's role in relation to commissions
Trivity may, as part of its technology Services:
- automatically record bookings associated with an Agent;
- calculate potential commissions for guidance purposes according to the current configuration;
- display tracking or historical information to the Agent; and
- manage, where enabled, the technical system for centralized settlement of commissions in accordance with these Terms.
These functionalities do not imply that Trivity acts as payer, debtor, guarantor or representative of the Provider towards the Agent, and do not alter the strictly technological nature of the Services.
Automatic settlement system
The Agent may enable or disable the automatic commission settlement system through the Platform.
When that system is enabled, Trivity will technically manage the calculation of the Agent Commission, its inclusion in the invoice issued to the Provider and its subsequent settlement in accordance with the configurations in force on the Platform.
Settlement of the Agent Commission will be made once Trivity has actually received the corresponding amounts from the Provider.
In the event of non-payment, late payment or insufficient Provider balance, Trivity may suspend settlement until the situation is regularized, without assuming any obligation to advance, finance or provide economic coverage to the Agent.
Any adjustment arising from cancellations, refunds, modifications, chargebacks or incidents may be regularized in subsequent cycles.
Tax matters
The Agent will be solely responsible for:
- declaring, invoicing and complying with its tax obligations arising from commissions received;
- issuing, where applicable, the corresponding invoice to the Provider in accordance with applicable law; and
- assuming any tax, withholding or fiscal charge that may be payable.
Trivity does not provide tax advice to the Agent and assumes no liability for compliance with the Agent's tax obligations.
No liability of Trivity
Except where legally required, Trivity does not assume the status of principal debtor of the Agent Commission and does not guarantee its receipt in the event of Provider default.
Trivity will act exclusively as technical manager of the settlement system when it is enabled, without assuming credit risk towards the Agent.
20. AGENT-PROVIDER RELATIONSHIP
Functional nature of the relationship
The interaction between the Agent and the Provider within the Platform is structured exclusively through Trivity's technological infrastructure and in accordance with the economic and operational configurations in force from time to time.
Use of the Platform does not by itself imply the automatic creation of an independent contract between Agent and Provider, beyond the economic terms configured and accepted within the Trivity environment.
The Parties may, if they so wish, enter into external agreements outside the Platform, without Trivity being a party to or assuming any liability for such agreements.
No contractual link imposed by Trivity
The Agent acknowledges and accepts that:
- Trivity does not impose the existence of a contractual relationship between Agent and Provider;
- Trivity does not define the commercial terms applicable between Agent and Provider, beyond enabling their technical configuration on the Platform; and
- use of the Platform does not by itself create an agency, distribution, commercial collaboration or exclusivity agreement between Agent and Provider.
Any external relationship or agreement between Agent and Provider will be outside the Services and will not affect the configurations, calculations and operational records made within the Platform.
Commercial terms and commissions
The economic terms applicable to the Agent-Provider relationship, including commissions, incentives, discounts, special terms or limitations, are:
- defined by the Provider;
- accepted or not by the Agent;
- and reflected, where applicable, through technical configurations on the Platform.
The Agent acknowledges that Trivity does not validate, supervise or guarantee that such terms faithfully reflect external agreements between Agent and Provider, and is not liable for discrepancies, configuration errors or divergent interpretations, without prejudice to the fact that, for Platform purposes, the configurations in force at the time of the booking will apply.
Autonomy and independence of the Parties
Agent and Provider act at all times as independent entities, and there is no:
- employment relationship;
- corporate relationship;
- regulated legal agency relationship;
- hierarchical dependency relationship; or
- exclusivity link, unless expressly agreed between them.
Neither Party is authorized to assume obligations, commitments or responsibilities on behalf of the other.
No Trivity control over the relationship
Trivity does not control, and has no obligation to control:
- compliance with commercial agreements between Agent and Provider;
- proper settlement of commissions between them;
- performance of commitments assumed outside the Platform; or
- the legality, validity or enforceability of such agreements.
Any claim arising from the Agent-Provider relationship must be brought exclusively against the relevant Party, and Trivity is expressly excluded from such disputes.
Conflicts between Agent and Provider
In the event of conflict, disagreement or dispute between Agent and Provider, including controversies relating to:
- commissions;
- discounts;
- cancellations;
- access to activities;
- or interpretation of configurations,
the Agent acknowledges that Trivity does not act as arbitrator, mediator or dispute resolution authority, without prejudice to the fact that it may, voluntarily and without obligation, provide technical information or operational records from the Platform.
Powers of limitation or exclusion
Without prejudice to the foregoing:
- the Provider may limit, restrict or revoke the Agent's access to certain Activities using the Platform tools; and
- the Agent may stop recommending or channeling activities of a Provider at any time.
Such decisions do not give rise to any right to compensation against Trivity.
No liability of Trivity
Trivity will not be liable, directly or indirectly, for:
- contractual breaches between Agent and Provider;
- economic damage arising from that relationship;
- loss of business opportunities;
- or cross-claims between both Parties.
21. TECHNOLOGICAL INTERMEDIATION AND NO LIABILITY FOR ACTIVITIES
Strictly technological role of Trivity
The Agent acknowledges and accepts that Trivity acts exclusively as provider of technological infrastructure that enables:
- the display of Activities offered by Providers;
- the recommendation or prescription of such Activities by Agents;
- the technical channeling of bookings to Providers; and
- the operational recording of information associated with such bookings.
Under no circumstances does Trivity organize, operate, provide, perform, control, supervise or guarantee the Activities offered by Providers.
No Agent liability for Activities
The Agent does not act under any circumstances as:
- organizer;
- operator;
- service provider;
- seller;
- direct marketer;
- or party responsible for the material performance of the Activities.
Accordingly, the Agent assumes no liability, direct or indirect, towards:
- end users;
- Providers;
- administrative authorities; or
- third parties,
- for the organization, performance, development, safety, quality, legality, suitability, outcome or regulatory compliance of the Activities.
The foregoing does not exclude any liability that may correspond to the Agent for its own acts or omissions (for example, its own commercial communications, additional information provided by the Agent or regulatory breaches attributable to the Agent), provided that such liability does not arise from the material performance of the Activity, which is the exclusive responsibility of the Provider.
Exclusive responsibility of the Provider
The Agent acknowledges and accepts that:
- the material performance of the Activity;
- compliance with tourism, consumer, safety, insurance, employment and tax regulations;
- obtaining the necessary licenses, authorizations and coverage; and
- any obligation towards the end user
- correspond solely and exclusively to the Provider offering the Activity.
No action by the Agent within the Platform alters this allocation of responsibility.
Displayed information and no warranty
Information relating to Activities (including descriptions, prices, availability, terms, duration, requirements or policies) is provided by Providers.
The Agent:
- does not guarantee the accuracy, completeness or updating of such information;
- does not assume liability for errors, omissions or discrepancies; and
- is limited to displaying or recommending it according to the data available on the Platform.
No Agent-End User contractual relationship
The Agent is not a contractual party to the relationship between the end user and the Provider.
In particular:
- the Agent does not charge the end user for the Activity;
- the Agent does not manage payments for the Activity in its own name;
- the Agent does not define cancellation or refund policies; and
- the Agent is not liable to the end user for Provider breaches.
Any claim by the end user must be directed exclusively against the relevant Provider.
Exclusion of regulated tourism intermediation
The Parties expressly acknowledge that:
- the Agent's use of the Platform does not constitute travel agency activity, regulated tourism intermediation or any similar activity subject to specific administrative authorization;
- Trivity does not act as a travel agency or regulated tourism intermediary; and
- the Agent does not acquire such status by the mere use of the Platform.
Claims, incidents and damage
Trivity and the Agent are expressly excluded from any liability for:
- accidents, personal injury or property damage;
- economic losses;
- contractual breaches;
- administrative penalties;
- or claims of any kind
- arising from the performance of the Activities.
Safeguarding the contractual architecture
Nothing in these Legal Terms may be interpreted as a reallocation of responsibilities or as an expansion of the role of the Agent or Trivity beyond what is expressly provided.
Any contrary interpretation is expressly excluded.
22. ACCURACY OF INFORMATION PROVIDED BY ACTIVITY PROVIDERS
Source of information
The Agent acknowledges and accepts that all information relating to Activities displayed through the Platform, including, by way of example and without limitation, descriptions, prices, availability, schedules, duration, requirements, participation conditions, cancellation policies, images and associated content, is provided, managed and updated exclusively by Providers.
Trivity does not generate or validate such information from a material or operational standpoint, acting only as provider of technological infrastructure that enables its display and technical processing.
Agent's limited role regarding information
The Agent:
- does not create or control Activity information;
- does not guarantee its accuracy, completeness, currency or suitability for the end user's expectations;
- does not assume any technical, legal or operational verification obligation regarding such information; and
- is limited to displaying, recommending or prescribing it according to the data available on the Platform from time to time.
The Agent will not be required to carry out additional checks or audits of Activities offered by Providers.
No liability for inaccuracies or changes
Neither Trivity nor the Agent will be liable to end users, Providers or third parties for:
- errors, omissions or inaccuracies in information provided by Providers;
- price, availability or condition changes made by the Provider;
- temporary mismatches between the information displayed and the actual status of the Activity; or
- cancellations, modifications or incidents attributable to the Provider.
Any claim arising from such circumstances must be directed exclusively against the relevant Provider.
Prohibition of alteration or misleading presentation
The Agent undertakes not to modify, manipulate, reinterpret or misleadingly present information provided by Providers.
In particular, the Agent may not:
- alter prices, terms or characteristics of Activities;
- conceal relevant limitations, requirements or policies; or
- mislead the end user through its own communications that are not aligned with the information displayed on the Platform.
Breach of this obligation may lead to suspension or termination of the Agent's access to the Services, without prejudice to any other legal actions that may apply.
Informational nature of the Agent's recommendation
Recommendations, selections or orderings made by the Agent through the Platform are merely informational or prescriptive in nature and do not constitute:
- quality guarantee;
- certification of suitability;
- assurance of outcome; or
- any commitment regarding the proper performance of the Activity.
The Agent acknowledges that the decision to book an Activity is made exclusively by the end user, according to their own judgment and the information provided by the Provider.
23. TRANSPARENCY AND P2B OBLIGATIONS
Scope of application
This section applies to the extent that Trivity acts as a provider of online intermediation services within the meaning of Regulation (EU) 2019/1150 of the European Parliament and of the Council of 20 June 2019 (the "P2B Regulation") in its relationships with Agents using the Platform in a professional capacity.
The Agent acknowledges that the P2B Regulation applies exclusively to B2B relationships and does not confer rights on consumers or end users.
Access to the Platform and suspension or termination conditions
Trivity may suspend, restrict or terminate the Agent's access to the Platform, in whole or in part, in the circumstances provided in these Legal Terms, including, among others:
- breach of contractual obligations;
- improper or fraudulent use of the Platform;
- circumvention of booking flows or commissions;
- risks to system security or integrity; or
- legal or regulatory requirements.
Except where legally required or technically impossible, Trivity will notify the Agent of the suspension or termination with reasonable advance notice, indicating the main reasons for the measure.
Transparency in Activity ranking and presentation
The Platform may display Activities in listings, results, featured sections or other ordered formats.
The order, visibility or prioritization of Activities may be influenced, among others, by the following general criteria:
- availability and configuration of the Activity;
- price, economic terms and policies configured by the Provider;
- language, location or preferences of the viewing environment;
- historical performance, interaction or conversion rate;
- quality, completeness and currency of the information provided;
- commercial agreements or contracted plans, where they exist.
Trivity does not disclose specific algorithmic formulas or weightings, nor does it guarantee any specific ranking.
In the case of listings or catalogues generated and presented through Agents, the Agent may decide the order, selection or prioritization of the Activities it shows to its end users, under its sole responsibility, using the tools enabled by the Platform.
Differentiated treatment
Trivity may offer differentiated terms, functionalities, integrations, support levels or visibility depending on the contracted plan, the type of commercial relationship or specific agreements.
Such differentiated treatment will be based on objective, contractual or operational criteria and will not constitute undue discrimination within the meaning of the P2B Regulation.
Access to data
The Agent may access, through the Platform, certain aggregated or individualized data and information relating to:
- bookings channeled through its intermediation;
- status and operational tracking of such bookings;
- associated commissions, where applicable.
Access to such data:
- is strictly limited to the scope of its activity as Agent;
- does not confer rights of use outside those provided in these Legal Terms; and
- is governed by data protection law and by the section "Personal data and access to end-user information".
Restriction, limitation or withdrawal of functionalities
Trivity may modify, limit or withdraw certain Platform functionalities for technical, security, operational, commercial or legal reasons.
Where such modifications have a significant impact on the Agent's use of the Services, Trivity will provide reasonable advance notice, unless:
- immediate action is necessary; or
- there is a legal obligation or serious risk to the Platform.
Internal complaint-handling system
The Agent may submit complaints relating to compliance with the P2B Regulation or use of the Platform through the contact channels indicated in these Legal Terms.
Trivity undertakes to process such complaints diligently and proportionately, taking into account the professional nature of the relationship.
Mediation
In accordance with the P2B Regulation, the Parties may, by mutual agreement, use mediation mechanisms to attempt to resolve disputes related to the provision of the Services.
Participation in mediation will be voluntary and will not prevent access to court proceedings in accordance with section 14. Dispute Resolution.
Consistent interpretation
This section is to be interpreted systematically with the rest of the Legal Terms and does not limit or replace the contractual rights and obligations of the Parties, except to the extent strictly required by the P2B Regulation.
24. MISCELLANEOUS
Entire agreement
These Legal Terms constitute the entire agreement between Trivity and the Agent regarding access to and use of the Platform, and replace any prior agreement, negotiation or communication, whether oral or written, relating to their subject matter.
Order of precedence
In the event of conflict between these Legal Terms and other Trivity contractual or informational documents:
- these Legal Terms will prevail for the relationship with Agents;
- the Privacy Policy and, where applicable, the DPA will apply exclusively to data protection matters;
- specific commercial agreements will prevail only in respect of the matters they expressly regulate.
Severability
If any provision of these Legal Terms is declared null, invalid or unenforceable, in whole or in part, by a competent authority:
- such provision will be interpreted, to the extent possible, in a valid and lawful manner; and
- the remaining provisions will remain fully in force and binding.
No waiver
Trivity's failure or delay in exercising any right or power will not constitute a waiver of that right or power or prevent its subsequent exercise.
Assignment
The Agent may not assign, transfer or subrogate, in whole or in part, the rights or obligations arising from these Legal Terms without Trivity's prior written consent.
Trivity may assign or transfer these Legal Terms to any entity of its corporate group or in connection with a corporate transaction (merger, acquisition, reorganization or sale of assets), without this giving rise to any right of objection or compensation in favor of the Agent.
Force majeure
Neither Party will be liable for breach or delay in performance of its obligations where such breach is due to force majeure events, including, among others, infrastructure failures, third-party service interruptions, natural disasters, labor disputes, governmental acts or cyber incidents beyond its reasonable control.
Language
These Legal Terms have been drafted in Spanish. In the event of translation into other languages, the Spanish version will prevail in the event of interpretative discrepancy, unless applicable law provides otherwise.
Headings
Section headings are included for convenience only and will not affect the interpretation of these Legal Terms.
Relationship between the Parties
Nothing in these Legal Terms shall be interpreted as creating an agency, mandate, partnership, joint venture, franchise or employment relationship between Trivity and the Agent. The Parties act at all times as independent entities.
